Quota Purchase AgreementA quota purchase agreement (QPA), or a share purchase agreement (SPA), is the contract between two or more parties that states the terms and conditions for the acquisition of a portion or the total of the corporate capital of a firm. In energy projects, such firms can be the SPV that owns the energy assets, the ownership of which is transferred from one party to another where, usually, one party is the development and construction company and the other party is the investor and future asset manager of such assets.
