Distribution AgreementSimilar to the SPA, a distribution agreement (DA) is an agreement by which a manufacturer appoints a company the distribution rights of its products in a certain territory, with or without exclusivity rights. The main difference between the SPA and the DA is in the rights set forth in the appointment section, where the manufacturer can give the company the exclusivity to sell its products in a specific territory, asking the company not to sell competitor's products and not enter other territories not included in the DA list.
